Commercial Claims and Disputes

If you are involved in a commercial dispute, or you are providing legal advice to a client involved in a commercial dispute, we can assist by providing you with an independent and objective view of the accounting/numerical aspects of your case.

Amongst the types of commercial claims or disputes of which we have experience are:

Loss of profits

Loss of profits can arise for a number of reasons, such as breach of contract, breach of warranty, business interruption or an insurance claim.

We apply our commercial experience to the quantification of your loss, tailoring our work to your particular situation, whilst ensuring that we follow best practice in gathering evidence and calculating your claim. We provide a clear and objective report to support your claim.

Shareholder disputes

There are a number of ways in which we can assist shareholders who are in dispute. Disputes often arise between members of companies which are quasi-partnerships. Often those who feel aggrieved are minority shareholders: we can investigate the conduct of the company and advise the minority shareholders in respect of possible oppression of the minority and any potential application under Section 459 Companies Act 1985.

We can also provide advice to holders of larger shareholdings in a company.

Shareholder disputes also frequently involve the directors of a company and we can advise on the responsibilities of directors.

Partnership disputes

We can assist by providing independent advice in relation to dissolution or quantification of profit shares, for example. We can also provide a valuation of the business or of a partnership interest.

Professional negligence

We can provide advice in relation to audit, accounting and taxation issues.  We can also consider loss of profits and general advisory work.
