Due diligence and investigations
Due diligence is the process of making enquiries into the business in which the client is contemplating investment. The main purpose of due diligence is to ensure that all relevant matters are brought to the client’s attention prior to the transaction to try and avoid awkward situations afterwards and avoid overpaying for the business. The findings of the due diligence assignment are documented in a report, which may affect whether the investor/acquirer wishes to go ahead with the deal.
Due diligence will normally involve a review of the commercial and financial activities. We would carry out the financial aspects of the procedure, whilst other aspects would be dealt with by your other advisers. We:
- Provide commercial and financial due diligence services in relation to target acquisitions, with reports tailored to acquirers’ needs
- Prepare pre-disposal due diligence reports for potential acquirers and vendors
- Prepare due diligence reports to meet bank funding requirements
